1. Purpose

This Memorandum of Understanding ("MoU") establishes a strategic partnership between SalonCareer and the Salon Academy to facilitate employment opportunities for students graduating from the Academy. SalonCareer shall provide placement assistance, employer connections, recruitment support, and career guidance to eligible students. The Salon Academy shall support student registrations, share accurate student information, and facilitate placement activities.

2. Scope of Partnership

The partnership includes:

• Student registration on SalonCareer Mobile Platform.
• Resume creation and profile management.
• Employer matchmaking.
• Placement assistance.
• Career counselling.
• Industry networking.
• Employer branding opportunities.

3. Responsibilities of SalonCareer

SalonCareer agrees to:

• Provide access to its placement platform.
• Assist eligible students in obtaining employment opportunities.
• Share suitable job openings.
• Maintain confidentiality of academy information.
• Provide placement reports upon request.
• Offer career guidance and employability support where applicable.

SalonCareer shall use reasonable efforts to secure placement opportunities but does not guarantee employment for any student.

4. Responsibilities of the Salon Academy

The Academy agrees to:

• Register students with SalonCareer.
• Share accurate student records.
• Provide student consent before sharing personal information.
• Ensure students possess the required training.
• Inform students about recruitment procedures.
• Coordinate placement activities.
• Provide suitable infrastructure for campus interviews when required.
• The Academy shall not provide false, misleading, or incomplete student information.

5. Student Eligibility

Students shall:

• Complete prescribed training.
• Meet eligibility criteria specified by employers.
• Participate in interviews professionally.
• Maintain accurate resumes.
• Comply with employer recruitment policies.

6. Benefits to the Salon Academy

By partnering with SalonCareer, the Academy may receive:

• Access to a nationwide network of salon employers.
• Dedicated placement support.
• Industry networking opportunities.
• Career guidance sessions.
• Increased student placement visibility.
• Branding as an official SalonCareer Placement Partner, subject to compliance with this MoU.

7. Placement Disclaimer

SalonCareer provides recruitment facilitation services only. SalonCareer does not guarantee:

• Job placement.
• Number of placements.
• Salary offered.
• Candidate selection.
• Joining by employers.
• Retention after joining.
• Employer hiring timelines.
• Final hiring decisions remain solely with the employer.

8. Student Data & Confidentiality

All student information shared with SalonCareer shall be used exclusively for recruitment, placement, and related career services. The Academy shall obtain any legally required student consent before sharing personal information. Neither party shall disclose confidential business information received from the other without prior written consent, except where required by law.

9. Candidate Ownership

Students introduced to employers through SalonCareer shall be deemed candidates sourced through SalonCareer for the applicable placement cycle. The Academy shall not facilitate direct hiring that intentionally bypasses SalonCareer where a placement fee or agreed commercial arrangement applies under this MoU or a separate commercial agreement.

10. Non-Circumvention

The Academy agrees not to intentionally circumvent SalonCareer by directly engaging employers introduced by SalonCareer to avoid agreed commercial terms. If an employer and the Academy subsequently engage directly following an introduction by SalonCareer, any agreed commercial obligations between the parties shall continue to apply.

11. Intellectual Property

The SalonCareer name, logo, platform, technology, placement processes, software, documents, marketing material, and databases remain the exclusive intellectual property of SalonCareer. The Academy shall not reproduce or use SalonCareer's branding except with written permission and in accordance with SalonCareer's brand guidelines.

12. Academy Verification

The Academy agrees to provide:

• Business Registration Certificate.
• GST Registration (if applicable).
• Address Proof.
• Accreditation or affiliation details (if applicable).
• Owner/Authorised Signatory ID.
• Training centre photographs (if requested).
• SalonCareer reserves the right to verify these documents.

13. Code of Conduct

The Academy agrees to:

• Maintain professional conduct.
• Deliver ethical training.
• Avoid discriminatory practices.
• Not misrepresent placement opportunities.
• Not misuse SalonCareer branding.
• Maintain accurate student records.

14. Commercial Terms

Commercial arrangements, placement fees, service charges, incentives, payment schedules, and replacement policies shall be specified in a separate written agreement or annexure, which shall form part of this MoU where expressly incorporated.

15. Limitation of Liability

SalonCareer shall not be liable for:

• Student misconduct.
• Employer misconduct.
• Job loss.
• Salary disputes.
• Employment termination.
• Workplace disputes.
• Candidate performance.
• Business losses.
• Indirect or consequential damages.

The Academy remains responsible for the quality of its training and representations made to students.

16. Indemnity

The Academy agrees to indemnify and hold SalonCareer harmless against any claims, losses, damages, liabilities, costs, or legal expenses arising from:

• False student information.
• Misrepresentation by the Academy.
• Breach of this MoU.
• Violation of applicable laws.
• Intellectual property infringement caused by the Academy.
• Claims arising from the Academy's training or operations.

17. Term and Termination

This MoU shall remain valid for an initial period of one (1) year from the Effective Date and shall automatically renew for successive one-year terms unless terminated. Either party may terminate this MoU by giving thirty (30) days' written notice. SalonCareer may terminate the MoU with immediate effect in the event of fraud, document falsification, misuse of student data, misuse of branding, or any material breach by the Academy. Termination shall not affect rights and obligations that accrued prior to termination.

18. Governing Law

This MoU shall be governed by the laws of India. Any dispute arising under or in connection with this MoU shall first be addressed through good-faith negotiations. If unresolved, the parties may refer the dispute to arbitration in accordance with applicable law. Courts having jurisdiction at the location of SalonCareer's registered office shall have supervisory jurisdiction where required by law.

19. Entire Understanding

This MoU represents the entire understanding between the parties regarding the subject matter and supersedes prior discussions or communications relating to it. Any amendment shall be made in writing and signed by both parties.

Commercial Schedule — Placement Fee

• A 1-month free trial will be provided from the date of commencement of the partnership.
• During the free trial period, placement services will be offered at no cost, allowing the client to evaluate the quality of candidates and the recruitment process.

Post-Trial Pricing

• After the completion of the free trial, a placement fee of ₹999 (plus GST) will be charged for each successful candidate placed.

Payment Timeline

• An invoice will be raised upon the successful joining of the candidate.
• Payment is due within 15 days from the candidate's joining date or the invoice date, whichever is later.

Branding & Marketing Guidelines

• SalonCareer and Salon Academy are open to using their logos for marketing and promotion after informing each other.

Performance KPIs

• Number of students registered.
• Placement rate with SalonCareer App.
